A few things these Terms make clear:

Your Provider account is yours

The documents, profile, and attestations in your Provider account belong to you, including as between you and any Organization you apply to.

People make the decisions

Credentialing and privileging outputs are suggestions that a qualified person reviews and approves. Decisions are made by the responsible committees, not by the Services.

Arbitration, with an opt-out

Disputes are resolved by individual arbitration under Section 15. You may opt out within 30 days, and individual users have fee protections.

Introduction

Introduction

These Terms of Service (the “Terms”) govern your access to and use of the websites, applications, platform, and related services provided by SynAIpse Inc. (“SynAIpse,” “we,” “our,” or “us”) (collectively, the “Services”). Please read these Terms carefully. By accessing or using the Services, creating an account, or clicking to accept these Terms, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. Certain features are also subject to the Service-Specific Terms described in Section 6. If you do not agree, do not access or use the Services.

If you are entering into these Terms on behalf of a company, practice, or other organization (your “Organization”), you represent that you have authority to bind that Organization, and “you” refers to both you and your Organization.

PLEASE NOTE THAT BY AGREEING TO THESE TERMS, YOU AGREE TO RESOLVE ALL DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION, AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION, AS DESCRIBED IN SECTION 15 (GOVERNING LAW; DISPUTE RESOLUTION). YOU MAY OPT OUT OF ARBITRATION AS DESCRIBED IN THAT SECTION.

1. Eligibility

1. Eligibility

You must be at least 18 years of age and possess the legal capacity to form a binding contract to use the Services. If you use the Services in a professional capacity or on behalf of an entity, you represent and warrant that you are: (a) a healthcare professional or trainee who is licensed, or who is seeking licensure, credentialing, privileging, or payer enrollment; (b) a person authorized by such a professional to act as their Delegate (as defined in Section 5); or (c) an authorized representative with the legal authority to bind your Organization to these Terms.

2. The Services

2. The Services

SynAIpse provides technology and related services that assist healthcare providers, practices, and organizations with administrative workflows, including provider credentialing, privileging, and payer enrollment support. The Services include decision-support tools intended to be used strictly under the review and supervision of qualified personnel. SynAIpse does not provide medical, clinical, or legal advice. Credentialing outputs, privilege suggestions, and other outputs generated by the Services are suggestions that require human review and approval before they are relied upon, submitted, or acted upon. You are solely responsible for the final review, approval, and use of any output.

AI-generated outputs may contain errors or inaccuracies and may vary in response to identical or similar inputs. You agree not to rely on AI-generated outputs as a sole source of truth or as a substitute for independent verification. Certain AI features may be powered by or incorporate third-party artificial intelligence models and infrastructure that SynAIpse does not control, and SynAIpse assumes no responsibility for errors, inaccuracies, or limitations attributable to such underlying models.

We make reasonable efforts to keep the Services operational, but we may experience technical difficulties or perform maintenance or updates that cause temporary interruptions. We reserve the right to modify, suspend, or discontinue any function or feature of the Services at any time; if we discontinue a feature for which you have prepaid a fee, we will refund the unused prepaid portion.

As part of your credentialing workflows, you may require Primary Source Verifications (“PSVs”), such as the verification of provider employment, education, medical licenses, and malpractice history. You may choose to perform PSVs internally, engage an independent third-party Credentials Verification Organization (“CVO”), or purchase PSV services through the Services. PSV services purchased through the Services are provided by Vitae Verification, LLC (the “Affiliated CVO”), a separate legal entity affiliated with SynAIpse, under the Affiliated CVO’s own services agreement and terms (the “CVO Terms”), which govern those services and will be presented to you before purchase. SynAIpse provides the software through which PSV services may be ordered and delivered, but SynAIpse does not perform PSVs. The Affiliated CVO, not SynAIpse, is responsible for the accuracy, completeness, and compliance of the PSVs it performs, as provided in the CVO Terms. If you perform PSVs internally or engage an unaffiliated CVO, SynAIpse does not perform, review, or verify those PSVs and is not responsible for them; the entity performing the PSV is responsible for its accuracy and compliance.

Subject to these Terms, SynAIpse grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business or professional purposes.

3. Accounts and Registration

3. Accounts and Registration

To use certain features, you must create an account, either as an individual user or on behalf of an Organization. You agree to provide accurate, current, and complete information and to keep it updated. If you are an individual provider, you represent that all information you provide about your identity, education, training, licensure, certifications, work history, and other professional credentials is accurate and complete. If you are an Organization, you represent that all information regarding your corporate identity and authorized users is accurate. All users agree not to impersonate any person or misrepresent their identity, credentials, or affiliation with any person or entity. Providing false or misleading information (including credentialing or corporate data) is a material breach of these Terms and is grounds for immediate suspension or termination of your account, and such actions may be reported to affected organizations or applicable regulatory authorities where required or permitted by law.

You are solely responsible for safeguarding your account credentials and for all activity that occurs under your account (including, for Organizations, the activity of your authorized personnel). You agree to notify us immediately at compliance@synaipse.org of any unauthorized use or suspected security breach of your account. We reserve the right to refuse, suspend, or terminate accounts at our sole discretion and without liability to you.

4. Provider Accounts, Organization Access, and Data Ownership

4. Provider Accounts, Organization Access, and Data Ownership

If you are an individual healthcare professional or trainee using the Services in connection with your own credentialing, privileging, licensure, or payer enrollment (a “Provider”), your Provider account belongs to you, including as between you and any employer or Organization you apply to or work with. As between a Provider and any Organization, the Provider owns: (a) documents and information the Provider, or the Provider’s Delegate, uploads to the Provider account; (b) the Provider’s profile; (c) the Provider’s attestations; and (d) the verification status of the Provider’s own credentials as displayed in the Provider account (for example, that a license was verified on a particular date), but not the underlying PSV reports, consumer reports, or NPDB query results described below (together, items (a) through (d) are “Provider Data”). A Provider may keep, update, and choose to share Provider Data with other Organizations.

When a Provider submits an application to, or shares Provider Data with, an Organization, the Organization owns the application packet and the copies of documents and information it receives, and may retain and use them as permitted by law, applicable accreditation requirements, and its agreements with SynAIpse, even if the Provider later updates or removes Provider Data or ends their relationship with the Organization. The Organization also owns: (a) records it creates, such as committee notes and credentialing or privileging decisions; (b) consumer reports obtained for it; (c) NPDB query results obtained for it (see Section 6); and (d) PSV reports it purchases. PSV reports purchased by an Organization are not available to any other Organization unless the purchasing Organization agrees and applicable law permits. Consumer reports and NPDB query results are never shared with or reused for any other Organization.

If an Organization purchases, provisions, or sponsors Services for a user, that Organization may administer that user’s access to those Services, control the specific Services it has purchased, and receive reports and data regarding the use of those Services. Organization administration does not transfer ownership of Provider Data held in a Provider account. Our Privacy Policy describes how we handle information shared with Organizations.

5. Delegates and Authorized Users

5. Delegates and Authorized Users

You may authorize another person, such as a practice administrator or credentialing coordinator (a “Delegate”), to access the Services, prepare applications, and manage documents on your behalf or on behalf of your Organization. You are strictly responsible and liable for all actions your Delegates take under your authorization. If you are an individual provider, you must review and personally attest to any application before it is submitted. Your attestation constitutes your representation and warranty that the application’s contents are accurate and complete. If you act as a Delegate, you represent and warrant that you are expressly authorized by the provider or Organization on whose behalf you act, and you agree to enter only information you know or reasonably believe to be accurate and complete.

6. Service-Specific Terms and Electronic Communications

6. Service-Specific Terms and Electronic Communications

Some features of the Services are subject to additional terms, notices, and consents (“Service-Specific Terms”) that we present to you before you use the feature and that you must accept to use it. If you decline, you may continue to use the rest of the Services, but not that feature. Service-Specific Terms are part of these Terms, and if they conflict with these Terms as to that feature, the Service-Specific Terms control. They currently include:

  • Identity Verification Notice and Consent (including any collection of biometric information);

  • E-Signature and Electronic Records Disclosure and Consent (each Provider must personally apply their own electronic signature; Delegates may prepare documents but may not sign on a Provider’s behalf);

  • Text Message Terms; and

  • Background Check and NPDB Terms.

You agree that we may provide notices, disclosures, and other communications about the Services to you electronically, including by email and through the Services, as described in the E-Signature and Electronic Records Disclosure and Consent. You are solely responsible for keeping your contact information accurate and current, and we are not responsible or liable for notices you do not receive because your contact information is out of date.

7. Customer Data, PHI, and HIPAA

7. Customer Data, PHI, and HIPAA

SynAIpse does not own the data and content that you, your Delegates, or your Organization submit to the Services (“Customer Data”). Ownership of Customer Data as between Providers and Organizations is described in Section 4. You grant SynAIpse a worldwide, non-exclusive license to host, process, transmit, and display Customer Data as necessary to provide the Services, and to create and use de-identified and aggregated data derived from Customer Data, including to train and improve SynAIpse’s proprietary artificial intelligence and machine learning models, to improve the Services, and to develop de-identified benchmarks and aggregate industry insights, as permitted by law and any applicable agreement. For protected health information, de-identification and any such use will occur only as permitted by HIPAA (including 45 C.F.R. § 164.514) and the applicable Business Associate Agreement. For other personal information, “de-identified” means information that cannot reasonably be used to infer information about, or otherwise be linked to, an identified or identifiable individual, which we maintain and use only in de-identified form. We do not train models on information that identifies you, your Providers, or your patients, and we do not use NPDB query results or background check consumer reports to train any model. We do not attempt to re-identify de-identified data, except as permitted by law to test our de-identification processes, and we contractually prohibit any recipient of de-identified data from re-identifying it. We also collect technical data about how the Services are accessed and used, which we use as described in our Privacy Policy.

You represent and warrant that you and your Organization have all rights, authorizations, and consents necessary to submit Customer Data to the Services. To the extent your use of the Services involves protected health information as defined under HIPAA (“PHI”), such use is governed by a separate Business Associate Agreement (BAA) between SynAIpse and your Organization. You agree not to submit PHI to the Services unless a BAA is in effect and your submission is permitted under it. You are solely responsible for ensuring that your submission and use of Customer Data complies with all laws applicable to you and your Organization, including HIPAA and applicable state privacy and health information laws.

8. Acceptable Use

8. Acceptable Use

You agree not to, and not to permit any third party or authorized user to:

  • use the Services in violation of any applicable law, regulation, or professional obligation, or to submit or transmit information you are not authorized to disclose;

  • submit PHI or other regulated data except as permitted under Section 7;

  • impersonate any person, misrepresent your identity, credentials, corporate authority, or affiliations, or submit false or misleading information in any application or attestation;

  • upload or transmit malware, or otherwise interfere with, disrupt, or compromise the security or integrity of the Services;

  • attempt to gain unauthorized access to the Services, other accounts, or our systems or networks, or probe, scan, or test the vulnerability of the Services or any related system or network without our written authorization;

  • reverse engineer, decompile, disassemble, or attempt to derive the source code, models, or underlying structure of the Services, except to the extent this restriction is prohibited by applicable law;

  • copy, modify, distribute, sell, resell, sublicense, or create derivative works of the Services;

  • use any robot, scraper, or other automated means to access or collect data from the Services without our permission; or

  • use the Services to build a competing product or service, assist a third-party to develop a competing product or service, monitor the Services for competitive purposes, or misrepresent the outputs of the Services.

9. Third-Party Services

9. Third-Party Services

The Services may integrate with or link to third-party products and services, such as identity verification, electronic signature, background checks, electronic health record systems, sign-in and identity providers, and payment processing. Your use of a third-party service is governed solely by that third-party’s terms and privacy policy, and we are not responsible or liable for these unaffiliated third-party services. Integration does not imply our endorsement. Separately, PSV services purchased through the Services are provided by the Affiliated CVO under the CVO Terms, as described in Section 2. The Affiliated CVO is a separate legal entity; it is not SynAIpse’s agent, and SynAIpse is not its agent.

10. Fees

10. Fees

Certain features of the Services may require payment of fees, which will be described at the time of the applicable request or in a separate order form, subscription, or commercial agreement applicable to your Organization. Unless otherwise stated in these Terms (including Sections 2 and 16) or in an applicable order form or agreement, fees are non-refundable, and you or your Organization are responsible for all applicable taxes except when we collect them on your behalf. Where the Services are provided at no charge or on a pilot or evaluation basis, we reserve the right to modify or discontinue them at any time without notice or liability.

11. Intellectual Property and DMCA Notice

11. Intellectual Property and DMCA Notice

The Services, including all software, models, text, graphics, and other content we provide (excluding Customer Data), and all intellectual property rights in them, are owned by SynAIpse or its licensors. Except for the limited license granted in these Terms, no rights are granted to you or your Organization. The SynAIpse name and logos are trademarks of SynAIpse, and you may not use them without our prior written permission. If you provide feedback or suggestions about the Services, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

If you believe in good faith that content available through the Services infringes your copyright or other intellectual property rights, notify our Designated Copyright Agent at compliance@synaipse.org or by mail at SynAIpse Inc., 2900 Reading Road, Cincinnati, OH 45206, in accordance with the Digital Millennium Copyright Act (DMCA). To be legally effective, your notice must include: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the infringing material and information reasonably sufficient to permit us to locate it; (d) your contact information (address, telephone number, and email); (e) a statement of good faith belief that the use of the material is not authorized; and (f) a statement, made under penalty of perjury, that the information in the notification is accurate and you are authorized to act on behalf of the owner.

12. Disclaimers

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT, INCLUDING ANY AI-GENERATED OUTPUT OR VERIFICATION RESULT, WILL BE ACCURATE OR COMPLETE.

The Services do not provide medical, legal, coding, billing, tax, or professional advice, and are not a substitute for the professional judgment of qualified personnel. SynAIpse is not engaged in the practice of medicine or the provision of healthcare. Outputs of the Services, including (where available) suggested codes, modifiers, claims, verification results (whether performed internally, by the Affiliated CVO, or by a third party), privilege suggestions, and other credentialing outputs, are decision-support suggestions that must be reviewed and approved by a qualified human before they are relied upon or submitted; credentialing and privileging decisions are made by the responsible individuals and committees at the organizations involved, not by the Services. You and your Organization are solely responsible for all coding, billing, credentialing, clinical, and compliance decisions, and for compliance with applicable payer rules, coding guidelines, and laws. SynAIpse does not guarantee any particular reimbursement, claim acceptance, credentialing or privileging approval, or financial or clinical outcome. We are not responsible for delays, delivery failures, or data corruption arising from the internet, electronic communications networks, or third-party hardware, software, or platforms.

13. Limitation of Liability

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNAIPSE, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS (THE “SYNAIPSE PARTIES”) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR (OR YOUR ORGANIZATION’S) USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SYNAIPSE PARTIES’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID OR YOUR ORGANIZATION PAID TO SYNAIPSE FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Indemnification

14. Indemnification

You (and your Organization if you are acting on its behalf) agree to indemnify, defend, and hold harmless the SynAIpse Parties from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your or your Organization’s Customer Data, your use of the Services, your violation of these Terms, your failure to obtain any consent or authorization required in connection with your use of the Services, or your violation of any law or the rights of any third party.

15. Governing Law; Dispute Resolution

15. Governing Law; Dispute Resolution

These Terms and the Services are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules, except that the U.S. Federal Arbitration Act (“FAA”) governs the interpretation and enforcement of the arbitration agreement in this Section 15.

Informal resolution first. If you or your Organization have an issue with the Services, contact us at compliance@synaipse.org. Before starting an arbitration or court proceeding, the party with a claim must send the other party a written notice of dispute that includes the claimant’s name, contact information, and account email address (if any), a description of the claim, and the relief sought, signed personally by the claimant or, for an Organization, by an authorized representative. Notices to SynAIpse must be sent to SynAIpse Inc., ATTN: Legal, 2900 Reading Road, Cincinnati, OH 45206, or compliance@synaipse.org. Notices to you will be sent to the email address associated with your account. You and SynAIpse agree to try in good faith to resolve the dispute informally for at least 60 days after the notice is received. Any applicable limitations period, including the period in “Time limit” below, is tolled during this informal resolution period.

Arbitration agreement. If we cannot resolve the dispute informally, you and SynAIpse agree that any and all claims arising out of or relating to these Terms, the Services, or our relationship with each other — except disputes relating to either party’s intellectual property rights and matters properly brought in small claims court — will be resolved through binding individual arbitration administered by the American Arbitration Association (“AAA”) as described below, rather than in court. The arbitrator, and not any court, has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court will decide any dispute about the Class action waiver and Mass arbitration provisions below. The arbitrator can award, on an individual basis, the same damages and relief as a court, and the arbitrator’s decision is binding and final except for a limited right of review under the FAA. This arbitration agreement will remain enforceable even if other provisions of these Terms are invalidated.

Providers and other individual users. If you are a Provider or other individual using the Services other than on behalf of an Organization: (a) the arbitration will be administered under the AAA Consumer Arbitration Rules if the AAA determines that they apply, and otherwise under the AAA Commercial Arbitration Rules; (b) whichever rules apply, your share of filing, administration, and arbitrator fees will not exceed the filing fee you would pay under the AAA Consumer Arbitration Rules, and SynAIpse will pay the remainder, unless the arbitrator finds that your claim was frivolous or brought for an improper purpose; (c) the arbitration will be conducted through the submission of documents, by phone, or by video conference unless the arbitrator determines that an in-person hearing is necessary, and any in-person hearing will take place, at your election, in the county where you live or work or in Hamilton County, Ohio; and (d) if the arbitrator awards you damages greater than SynAIpse’s last written settlement offer (or SynAIpse made no offer), SynAIpse will reimburse your filing fee.

Organizations. If you are an Organization or are using the Services on behalf of an Organization: (a) the arbitration will be administered under the AAA Commercial Arbitration Rules; (b) filing, administration, and arbitrator fees will be allocated under those rules; and (c) any in-person hearing will take place in Hamilton County, Ohio.

Class action waiver. YOU (AND YOUR ORGANIZATION) AND SYNAIPSE AGREE TO ARBITRATE IN EACH OF OUR INDIVIDUAL CAPACITIES ONLY, NOT AS A REPRESENTATIVE OR MEMBER OF A CLASS, AND EACH OF US EXPRESSLY WAIVES ANY RIGHT TO FILE A CLASS ACTION OR SEEK RELIEF ON A CLASS BASIS, IN ARBITRATION OR IN COURT. YOU ARE GIVING UP THE RIGHT TO LITIGATE DISPUTES IN COURT BEFORE A JUDGE OR JURY.

Mass arbitration. If 25 or more similar demands for arbitration are filed against SynAIpse by or with the assistance of the same or coordinated counsel or organizations, the parties agree that the AAA Mass Arbitration Supplementary Rules (as amended) will apply in addition to the rules above, whether or not the AAA’s own filing thresholds for those rules are met, and the parties will cooperate in good faith to administer the demands in batches. SynAIpse’s fee commitments to individual users in this Section 15 apply to each demand as it is administered.

Exceptions. Either party may (1) bring an individual action in small claims court, provided the claim qualifies and remains individual and non-representative, or (2) seek temporary or preliminary individualized injunctive relief in a court of law pending a final ruling from the arbitrator. For any dispute not subject to arbitration, you agree to the exclusive jurisdiction of the state or federal courts located in Hamilton County, Ohio, and consent to the personal jurisdiction of those courts.

Opt-out. You may opt out of this arbitration agreement and class action waiver by sending written notice to compliance@synaipse.org, or to SynAIpse Inc., ATTN: Legal, 2900 Reading Road, Cincinnati, OH 45206, within 30 days after first becoming subject to a version of these Terms containing this arbitration agreement. Your notice must include your name, the email address associated with your account, and a clear statement that you opt out of arbitration. An opt-out applies only to the person or Organization that sends it, and opting out of a later version of these Terms does not affect any earlier agreement to arbitrate. If you opt out, all other parts of these Terms continue to apply.

Severability; time limit. If any portion of this arbitration agreement is found unenforceable, that portion will be severed, and any claims that must therefore proceed on a class, collective, or representative basis will be litigated in a court of competent jurisdiction and stayed pending the outcome of any individual claims in arbitration. If you are an Organization or are using the Services on behalf of an Organization, you and SynAIpse agree to bring any claim against the other arising out of or relating to these Terms or the Services within one year after the claim arises; otherwise, the claim is waived, to the extent permitted by law. Claims by or against Providers and other individual users are subject to the applicable statute of limitations.

16. Termination

16. Termination

We may suspend or terminate your (or your Organization’s) access to the Services at any time, with or without cause, including if you violate these Terms. If we terminate access to paid Services without cause, we will refund any prepaid fees for the unused portion of those Services. You may stop using the Services at any time. Upon termination, the license granted to you ends, and the provisions of these Terms that by their nature should survive, including Sections 2 (as to disclaimers and PSV responsibilities), 4, 6 (as to restrictions on the use of consumer reports and NPDB query results), 7 (as to ownership and representations), 10 (as to amounts owed), 11, 12, 13, 14, 15, 18, and 19, will survive.

17. Changes to the Services and Terms

17. Changes to the Services and Terms

We may modify the Services or these Terms at any time. If we make material changes to these Terms or to any Service-Specific Terms, we will post the updated Terms on this page, update the “Last Updated” date, and notify you by email or through the Services at least 30 days before the changes take effect, except where a change is required by law or addresses a security risk, in which case it may take effect sooner. We may require you to accept updated Terms before you continue using the Services. Your (or your Organization’s) continued use of the Services after the updated Terms take effect constitutes your acceptance of them. Changes to Section 15 will not apply to any dispute that arose, or for which a notice of dispute was sent, before the change took effect. If your Organization has a signed order form or commercial agreement with SynAIpse, updated Terms will not change its negotiated terms during the then-current term of that agreement.

18. General

18. General

These Terms, together with the Service-Specific Terms, the Privacy Policy, any applicable Business Associate Agreement, and any order form or agreement referencing them, are the entire agreement between you (including your Organization, if applicable) and SynAIpse regarding the Services. If these documents conflict, the following order of precedence applies: (1) the Business Associate Agreement, as to protected health information; (2) a signed order form or commercial agreement; (3) the Service-Specific Terms, as to the applicable feature; (4) these Terms; and (5) the Privacy Policy. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. Except as expressly provided in Section 6 and the Background Check and NPDB Terms (SynAIpse acting as an Organization’s agent for background checks and NPDB queries), no joint venture, partnership, employment, or agency relationship is created between you and SynAIpse by these Terms or your use of the Services. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
